Terms of Service

Who you're contracting with

When you engage us for a service, your contract is with Ferran Martinez Condom, an individual entrepreneur established in Georgia trading as Eficience, registered at Boris Paichadze Street 1A, 0159 Tbilisi, Georgia (Tax ID 302359490). We invoice you directly for the services we agree with you.

What we provide

• Custom automation projects: scoped on a discovery call and agreed with you before we start. Priced per project and invoiced directly.
• Websites: we build your site with no upfront build fee; ongoing hosting and maintenance is €29/month, invoiced monthly.
• Free expert guidance: 30-minute discovery calls, no obligation.

Your responsibilities

• Provide accurate information so we can deliver what we agreed.
• Don't share access credentials we issue with parties outside your organisation.
• Use any deliverable lawfully. We won't deliver something we believe is illegal in your jurisdiction.
• Pay invoices by their due date. Monthly website hosting and maintenance renews until you cancel.

Pricing, payment, and taxes

All prices are agreed with you before we start and confirmed on the invoice. Amounts are in EUR and are the final amount payable — no VAT is added, as we invoice from Georgia. Custom projects are invoiced in two parts: an initial deposit to begin the work and the balance on delivery. Website hosting and maintenance is invoiced monthly at €29 and renews until you cancel. All invoices are payable by bank transfer.

Intellectual property

• You own the deliverables once fully paid. Source code, configs, prompts, and agent definitions we hand over become yours on final payment.
• We retain ownership of our underlying methodologies, frameworks, and template materials we use across customers.
• You grant us permission to use anonymised, non-identifying details of the engagement (e.g., "we built a lead-qualification agent for a SaaS company") in case studies. Tell us if you don't want this and we'll respect it.

Acceptable use

• No reselling our work without written agreement.
• No use of the deliverables to violate any law, harm any third party, or generate unsolicited communications at scale (spam).
• No abuse of free discovery calls (e.g., booking with the intent to extract free consulting and not engage).

Termination

You can cancel monthly website hosting and maintenance anytime by emailing eficience.tech@gmail.com; it stops at the end of the current paid month. We can terminate a service if you breach these terms, with notice to your account email. On termination, we provide a full data export.

Liability

To the extent permitted by law, our total liability for any service is capped at the amount you paid us for that service in the 12 months before the claim. We don't exclude liability for fraud, gross negligence, or anything else that can't be excluded under your local consumer law.

Governing law

These terms are governed by the laws of Georgia. Disputes are subject to the exclusive jurisdiction of the courts of Tbilisi, Georgia. If you're a consumer in the EU, you keep the protection of your local mandatory consumer law.

Changes to these terms

We may update these terms; if changes are material we'll post a banner on the site and email active subscribers 30 days in advance. Continuing to use the service after the effective date means you accept the new terms.
